1. Acceptance of Terms

By accessing or using XeOps.ai ("Service", "Platform", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and XeOps.ai. We reserve the right to modify these Terms at any time, with or without notice. Continued use after changes constitutes acceptance.

2. Service Description

XeOps.ai provides AI-powered cybersecurity vulnerability scanning and analysis services, including but not limited to:

• Automated vulnerability scanning of web applications and APIs
• AI-generated security reports and remediation recommendations
• Exploit generation for authorized security testing (Pro/Enterprise plans)
• Real-time security insights and threat intelligence

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without liability.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must:

• Provide accurate, current, and complete registration information
• Be at least 18 years old or the age of majority in your jurisdiction
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are solely responsible for all activities conducted through your account. You agree to:

• Not share your account credentials with third parties
• Not create multiple accounts to circumvent service limits
• Accept full liability for all actions taken using your account

4. Acceptable Use Policy

4.1 Permitted Use

You may use XeOps.ai only for lawful security testing of systems you own or have explicit written authorization to test.

4.2 Prohibited Activities

You agree NOT to:

• Unauthorized Testing: Scan systems without explicit permission
• Malicious Use: Use exploits for illegal activities, data theft, or system compromise
• Disruption: Overload our services, perform DoS attacks, or abuse API rate limits
• Reverse Engineering: Attempt to decompile, reverse engineer, or extract our proprietary algorithms
• Data Harvesting: Scrape, mine, or extract data from our platform beyond your own scan results
• Illegal Content: Scan targets containing illegal content (CSAM, terrorist material, etc.)
• Impersonation: Misrepresent your identity or affiliation
• Resale: Resell or white-label our services without Enterprise license

5. User Responsibilities

You are solely responsible for ensuring your use of XeOps.ai complies with all applicable laws, including but not limited to:

• Computer Fraud and Abuse Act (CFAA) - United States
• Computer Misuse Act - United Kingdom
• Network and Information Security (NIS) Directive - European Union
• Cybercrime laws in your jurisdiction

6. Subscription Plans and Billing

6.1 Pricing

Current pricing tiers:

• Free Plan: 10 scans/month, basic features
• Pro Plan: $149/month - 500 scans/month, AI exploit generation
• Enterprise Plan: Custom pricing - Unlimited scans, dedicated support, custom SLAs

Prices are subject to change with 30 days notice. Changes do not affect existing subscription periods.

6.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• All payments are processed securely through Stripe
• Payments are non-refundable except as required by law
• Failed payments may result in service suspension after 7 days

6.3 Usage Quotas

Each plan has monthly scan quotas. Exceeding your quota will result in:

• Scan requests returning HTTP 429 (Too Many Requests)
• Prompt to upgrade to a higher tier
• Quotas reset on the 1st of each month (UTC)

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.

7. Intellectual Property

7.1 Our Rights

XeOps.ai and all related content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software, algorithms, or documentation
• Remove or alter any proprietary notices
• Use our trademarks without written permission

7.2 Your Rights

You retain all rights to your scan targets and data. We do not claim ownership of your vulnerability reports or findings. You grant us a limited license to process your data solely to provide the Service.

8. Warranties and Disclaimers

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Scan results will be accurate, complete, or current
• All vulnerabilities will be detected (false negatives may occur)
• Reported vulnerabilities are exploitable (false positives may occur)
• The Service will meet your specific requirements

Security Testing Disclaimer: Automated security tools are supplements to, not replacements for, manual security audits and penetration testing by qualified professionals.

9. Limitation of Liability

Our total liability for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

This limitation applies even if we have been advised of the possibility of such damages and regardless of the theory of liability (contract, tort, negligence, etc.).

10. Indemnification

You agree to indemnify, defend, and hold harmless XeOps.ai from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Unauthorized security testing or malicious use of our Service
• Your scan targets, data, or content

11. Termination

11.1 By You

You may terminate your account at any time through Dashboard Settings → "Delete Account".

11.2 By Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or Acceptable Use Policy
• We suspect fraudulent, abusive, or illegal activity
• Your account has been inactive for 12+ months
• We discontinue the Service (with 30 days notice)

11.3 Effect of Termination

Upon termination, your access to the Service ends immediately. All data is deleted within 30 days per our Privacy Policy. No refunds are provided for unused subscription time.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of France (applicable EU law), without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France. However, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and XeOps.ai.

13.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

13.3 Waiver

Our failure to enforce any right does not constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control (natural disasters, wars, pandemics, etc.).
